Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website promobeez.com and any related services, applications, accounts, and communications (collectively, the "Service") operated by Daring Spirit Oy, a limited liability company incorporated in Finland, with its registered office in Helsinki, Finland ("Promobeez", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Nature of the Service — Information Service Only

• We do not act as an agent, broker, employer, marketing agency, advertising intermediary, or representative of any user.
• We do not negotiate, conclude, execute, supervise, guarantee, or enforce any deal, barter exchange, or collaboration between users.
• We do not handle, hold, or transfer any money, goods, products, services, or other consideration exchanged between users.
• Any interaction, agreement, or exchange between a business and a creator is made solely between those parties, at their own risk and responsibility.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service. By using the Service you represent and warrant that you meet these requirements and that all information you provide is accurate and truthful.

3. No Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, availability, or non-infringement. In particular, we do not warrant or verify:

• the identity, qualifications, reliability, or conduct of any user;
• the accuracy of follower counts, engagement metrics, audience data, or any other information provided by users or derived from third-party platforms;
• the quality, safety, legality, or outcome of any collaboration or barter exchange between users;
• that the Service will be uninterrupted, secure, or error-free.

4. User Responsibilities

You are solely responsible for:

• all content and information you submit to the Service;
• evaluating and verifying any other user before entering into any arrangement with them;
• the negotiation, performance, and consequences of any deal or exchange you enter into;
• complying with all applicable laws, including consumer-protection, advertising-disclosure (e.g. marking sponsored content), tax, and platform rules (Instagram, TikTok, Facebook, X, Threads, etc.);
• reporting and paying any taxes arising from barter exchanges or other benefits you receive.

You agree not to use the Service for any unlawful, fraudulent, or misleading purpose, and not to submit content that infringes third-party rights.

5. Third-Party Platforms

The Service references and interoperates with third-party social media platforms. We are not affiliated with, endorsed by, or responsible for Instagram, TikTok, Facebook, X, Threads, or any other third-party platform, and we bear no responsibility for their content, policies, or actions, including account suspensions or content removal.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

• Promobeez, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the Service or any interaction between users;
• we shall not be liable for any dispute, damage, loss, injury, or claim arising from or relating to any collaboration, barter exchange, meeting, communication, or transaction between users, whether initiated through the Service or otherwise;
• our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the total amount of fees you have paid to us in the twelve (12) months preceding the claim, or EUR 100, whichever is lower.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory provisions of applicable law (e.g. liability for intentional misconduct or gross negligence under Finnish law).

7. Indemnification

You agree to indemnify and hold harmless Promobeez from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) any content you submit; or (d) any interaction, agreement, or dispute between you and another user or third party.

8. Disputes Between Users

Any dispute between users must be resolved directly between the parties involved. We have no obligation to mediate, investigate, or resolve such disputes, although we may, at our sole discretion, remove content or suspend accounts connected to a dispute.

9. Accounts and Termination

Creating an account does not guarantee access to every feature of the Service. We may modify, suspend, restrict, or discontinue the Service (in whole or in part), or refuse, suspend, or terminate any account, at any time, at our sole discretion, without liability.

You may stop using the Service at any time and may request deletion of your profile and personal data as described in our Privacy Policy.

10. Intellectual Property

The Service, including its design, branding, logo, texts, and software, is owned by or licensed to Daring Spirit Oy and protected by intellectual-property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain rights to content you submit, and you grant us a non-exclusive, worldwide, royalty-free licence to host, display, and process such content for the purpose of operating the Service.

11. Fees

Certain features of the Service may be offered against a fee. Applicable prices will be communicated before purchase. Fees relate solely to access to information and platform features — never to any outcome of user collaborations.

12. Changes to These Terms

We may update these Terms from time to time. The current version is always available on this page with the "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Finland, excluding its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service shall be settled in the District Court of Helsinki, Finland, unless mandatory consumer-protection law provides otherwise.
